A real estate firm, Houses for Africa Nigeria Limited, has described as misleading a recent publication allegedly issued by Adeniran Olatokunbo Ogunmuyiwa, on behalf of the company.
The company, in a statement by its board and management, at the weekend, said its attention had been drawn to a report published in an online media, on October 9, 2025, titled, “Abuja’s River Park Estate Scandal Deepens as Houses for Africa Disowns Kojo Mensah.”
The statement noted that the publication, which was purportedly issued by Ogunmuyiwa, did not reflect the true position of the company, its structure or its leadership.
“For the avoidance of doubt, the duly recognised directors of Houses for Africa Nigeria Limited on the record of the Corporate Affairs Commission (CAC) are Kojo Ansah Mensah, Samuel Esson Jonah, Victor Quainoo and Jonah Nathaniel. Any other person claiming directorship or authority to act on behalf of the company is doing so without legitimacy,” the company said.
The statement further clarified that Ogunmuyiwa was only involved with the company through JonahCapital Nigeria Limited, an entity in which he once held shares before a restructuring in 2007 that led to the incorporation of Houses for Africa Nigeria Limited.
The company explained that following a 2007 shareholders’ agreement, 80 percent of its shares were allotted to Houses for Africa Holdings Inc., USA, while the remaining 20 percent were allotted to Ogunmuyiwa. However, by a subsequent Heads of Agreement dated June 1, 2012, and a Special Resolution of April 9, 2013, he voluntarily relinquished his 20 percent shares and ceased to have any interest in the company.

As part of his exit package, the firm noted, Ogunmuyiwa was granted development rights over 94.8 hectares of land in River Park Estate and an additional 45 hectares for settlement of creditors.
“Despite these generous terms, Ogunmuyiwa failed to discharge the obligations tied to the settlement of company creditors, exposing the company to lawsuits which we are still defending,” the statement added.
The management further revealed that Ogunmuyiwa formally resigned as director in 2017, and, therefore, has no authority to issue statements or act in any capacity for the company.
“It is, therefore, shocking that a person, who has long ceased to have any official capacity now purports to act or issue statements on behalf of Houses for Africa Nigeria Limited,” it stated.
The company reaffirmed that Mr. Kojo Ansah Mensah remains the sole signatory to all corporate accounts domiciled in Zenith Bank, UBA, and Wema Bank since 2014. It added that Mr. Mensah has been responsible for all financial and operational obligations, including staff salaries, pensions, taxes, and statutory filings.
The statement also urged journalists to exercise caution, stressing that repeated efforts by the media to obtain clarifications from Ogunmuyiwa and Paul Odili were reportedly rebuffed under various pretexts.
Houses for Africa reaffirmed its commitment to transparency and lawful corporate governance, insisting that any contrary claims should be disregarded until verified from legitimate regulatory records.
