A Federal High Court, Abuja has given Seplat Energy Plc nod to hold its Annual General Meeting (AGM) as scheduled.
In a judgement on suit number FHC/ABJ/PET/7/2023, Akunduro Eric Akinnifesi & Otugade Olusola Adelaja V. Seplat Energy Plc, Justice A.R. Mohammed ordered that Seplat holds its AGM on May 10, 2023.
The court also restrained any current or former directors, shareholders and officers of Seplat from cancelling or postponing the AGM.
Sequel to the judgement, Seplat Energy has confirmed, through an announcement authorised by Mr. Basil Omiyi, Independent Chairman, on behalf of the Board of Seplat Energy PLC, that the AGM will hold on May 10, 2023 at 11am. The company said the announcement for the AGM was made pursuant to Rule 17.10 of the Rulebook of the Nigerian Exchange, 2015 (Issuer’s Rule).
The court in its judgement, ordered: “The terms of settlement filed in the Registry of the court on 11th April 2023 and duly executed by the parties and their legal representatives is hereby adopted as consent judgement of the court between parties in the suit as follows:
“The respondent shall hold its 2023 Annual General Meeting on the advertised date of 10th May, 2023.
“The respondent shall give not less than 21 days’ notice of its 2023 Annual General Meeting scheduled to hold on 10th May 2023 to the petitioners and all those entitled to receive such notice.
“The Board of Directors of the respondents shall ensure compliance with items i and ii. “The respondent, including its present and former directors, shareholders, secretary or any other officers of the respondents howsoever called, whether acting jointly or individually, shall refrain from cancelling or postponing or taking any step towards cancelling or postponing the respondent’s 2023 Annual General Meeting advertised and scheduled to hold on 10th May 2023.”
